Terms of Service
By engaging Livion Agency for any service, you agree to the following terms. Please read them carefully before proceeding.
1. About Us
Livion Agency is a performance-driven e-commerce and digital marketing agency registered in the United States.

2. Services
Livion Agency provides digital marketing and e-commerce services including, but not limited to:
- Shopify development and optimisation
- Paid media management (Meta, Google, and other platforms)
- Creative strategy and content production
- E-commerce growth consulting
The exact scope of services will be agreed upon in writing prior to commencement of any engagement.
3. Payments & Billing
All retainers are billed monthly. Payment is due upon receipt of invoice unless otherwise agreed in writing.
Ad spend budgets are managed separately and are not included in the agency retainer fee. The client is solely responsible for funding their advertising accounts.
Late payments may result in a pause of services until the outstanding balance is settled.
4. Minimum Engagement
All retainer engagements require a minimum commitment of 3 months. After the initial term, the engagement continues on a monthly rolling basis unless either party provides 30 days' written notice of termination.
5. No Guarantee of Results
While we work diligently to deliver measurable results, Livion Agency does not guarantee specific outcomes, revenue targets, or return on ad spend (ROAS). Digital marketing performance is subject to market conditions, platform algorithm changes, and other factors beyond our control.
6. Client Responsibilities
The client agrees to:
- Provide timely access to necessary accounts, assets, and information
- Ensure all provided content and materials comply with applicable laws
- Fund advertising accounts with agreed budgets in a timely manner
- Respond to communications within a reasonable timeframe
7. Intellectual Property
Upon full payment, all creative work and deliverables produced by Livion Agency for the client become the client's property. Livion Agency retains the right to reference the engagement as part of its portfolio unless otherwise agreed in writing.
8. Confidentiality
Both parties agree to keep confidential any proprietary information shared during the engagement and not to disclose it to third parties without prior written consent.
9. Limitation of Liability
Livion Agency shall not be liable for any indirect, incidental, or consequential damages arising from the use of our services. Our total liability shall not exceed the total fees paid in the three months preceding any claim.
10. Governing Law
These Terms of Service are governed by the laws of Wyoming, USA. Any disputes shall be subject to the exclusive jurisdiction of the courts of Wyoming, USA.
11. Changes to These Terms
We reserve the right to update these Terms of Service at any time. Continued engagement with Livion Agency following any changes constitutes acceptance of the updated terms.
